Please read these Terms carefully before using Social Connector. By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our platform.

1. Who We Are

Social Connector is a software platform operated by Nicks Family Fitness LLC ("we," "us," or "our"). Our website is located at www.socialconnector.ai. When you see "Social Connector" throughout this document, that refers to us and any services we provide through our platform.

2. Who Can Use Social Connector

You must meet all of the following requirements to use our platform:

You are at least 18 years old (or the legal age of majority in your state, whichever is greater)

You are using the platform for legitimate business purposes

You have the legal authority to enter into a binding contract

You have read and agreed to these Terms

By accessing or using Social Connector, you confirm that you meet all of the above requirements.

3. Your Account

When you create an account with Social Connector, you agree to:

Provide accurate and truthful information

Keep your login credentials confidential

Not share your account access with others

Notify us immediately if you suspect unauthorized access to your account

You are fully responsible for all activity that occurs under your account. Social Connector is not liable for any loss or damage resulting from your failure to keep your credentials secure.

4. Acceptable Use

Social Connector is a business tool and must be used responsibly. You agree NOT to use our platform to:

Violate any applicable laws or regulations

Send spam, unsolicited messages, or communications that violate anti-spam laws (including the CAN-SPAM Act and TCPA)

Transmit offensive, threatening, harassing, defamatory, or discriminatory content

Upload or distribute malware, viruses, or harmful code

Scrape, copy, or harvest data from our platform without permission

Attempt to hack, reverse-engineer, or interfere with our systems

Import sensitive personal data such as Social Security numbers, credit card numbers, passwords, or health information into our platform

Promote illegal products, services, or business activities

Build a competing product using our platform or gather competitive intelligence from it

We reserve the right to suspend or terminate accounts that violate these rules.

4a. Email and Messaging Best Practices

If you use Social Connector to send electronic communications, you are solely responsible for compliance with all applicable laws. At minimum, you agree to:

Only send to contacts who have opted in to receive communications from you

Include a functioning unsubscribe mechanism in every marketing message

Honor unsubscribe requests within 10 days (or sooner if required by law)

Include your valid physical mailing address in each marketing email

Never send to purchased or scraped lists

Never disguise the origin or subject of your communications

Comply with the CAN-SPAM Act, TCPA, and all other applicable messaging laws

5. Intellectual Property

All content, software, designs, logos, trademarks, and materials on the Social Connector platform are owned by Nicks Family Fitness LLC and protected by U.S. and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use our platform solely for your own business purposes. You may not:

Copy, reproduce, or distribute any part of our platform without written permission

Modify, create derivative works from, or reverse-engineer our software

Use our trademarks, logos, or brand assets without prior written approval

Sell, sublicense, or transfer your access rights to any third party

6. Subscriptions and Billing

6a. Subscription Plans

Social Connector operates on a subscription basis. Your subscription begins when you complete enrollment (or when your free trial ends, if applicable) and renews automatically each month until cancelled.

All subscription fees are billed in U.S. Dollars. Billing activity will appear under Nicks Family Fitness LLC or Social Connector on your payment statement.

6b. Free Trials

If you sign up for a free trial, your trial begins immediately upon registration. Free trials are only available to new subscribers who have not previously received a trial. We will send you a reminder email at least 7 days before your trial ends.

If you do not cancel before your trial ends, your subscription will automatically begin and your payment method will be charged the applicable monthly rate.

6c. Cancellation

You can cancel your Social Connector subscription at any time using any of the following methods:

In your account: go to Settings > Billing and select the cancellation option (fastest method, no support contact needed)

Cancellation requests submitted via email or support request must be received at least 24 hours before your next renewal date to take effect before that renewal. If your request is received less than 24 hours before renewal, your card may still be charged for the next period.

If Social Connector fails to process a cancellation that was properly submitted before the 24-hour deadline, we will issue a full refund for that charge.

After cancellation, your access continues through the end of your current paid period. You will not be billed further after that.

Tip: The easiest way to cancel is directly in your account under Settings > Billing. No need to contact support.

6d. Refund Policy

Because Social Connector is a digital subscription service, we do not offer refunds on active subscription periods once a renewal has processed, except in the case of a cancellation processing error described above.

6e. Price Changes

We reserve the right to change subscription pricing at any time. If we change your subscription price, we will notify you by email in advance and give you an opportunity to cancel before the new price takes effect.

6f. Usage-Based Fees

In addition to your subscription fee, certain platform actions (such as SMS messages, phone calls, AI features, and email sends) incur usage-based charges. These are billed to your in-platform billing wallet as they are incurred. Full details on usage fees are available at: https://www.socialconnector.ai/pricing

We recommend maintaining a minimum balance of $10 in your billing wallet to avoid service interruptions.

7. Your Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. You can review it at: https://www.socialconnector.ai/privacy-policy

By using Social Connector, you agree to our Privacy Policy, which is incorporated into these Terms by reference.

8. No Guarantees on Business Results

Social Connector provides software tools to help you run and grow your business. We do not guarantee any specific business outcomes, revenue, or results from using our platform.

Every business is different. Your results will depend on many factors including your industry, your effort, your content, and market conditions, all of which are beyond our control.

We do not offer financial, legal, tax, or accounting advice. Please consult qualified professionals for advice in those areas.

9. Your Responsibilities

You are solely responsible for:

Operating your business in compliance with all applicable laws

All advertising, marketing, and sales claims you make

Collecting and remitting any applicable sales or use taxes

Ensuring that your use of Social Connector complies with all platform policies and laws

You agree to notify us within 24 hours if you become the subject of any government investigation, FTC inquiry, or lawsuit that may affect your use of our platform.

10. Affiliate Program

10a. Overview

Social Connector offers an affiliate program that allows you to earn commissions by referring new subscribers to our platform. Participation is subject to these Terms and any additional affiliate-specific guidelines we provide.

10b. Commissions and Payments

Commissions are paid on or around the 5th of each month for the prior month's qualified referrals, provided your pending balance is at least $50. All earnings are held for 30 days to account for potential chargebacks or refunds. You will receive a 1099 form for tax purposes, which must be completed within 60 days of joining the program. Payments are made via PayPal.

10c. Affiliate Rules

As an affiliate, you agree to the following:

No self-referrals (you may not sign up through your own affiliate link)

No paid search ads on our branded terms, domain names, or campaigns that compete with Social Connector's own advertising

No misleading promotions such as fake discounts or coupon postings

No impersonating Social Connector or representing yourself as an employee or official representative

No targeting the customers or affiliates of other resellers within our network

Violation of these rules will result in forfeiture of unpaid commissions and immediate termination from the affiliate program. We reserve the right to pursue additional legal remedies where applicable.

10d. Independent Contractor

Affiliates are independent contractors, not employees or agents of Social Connector. Affiliates have no authority to act on our behalf or enter into agreements on our behalf.

11. Testimonials and Reviews

We may use testimonials, reviews, names, and general locations (city/state) submitted by users in our marketing materials. By submitting a testimonial or review, you grant Social Connector a royalty-free, worldwide, perpetual license to use it in any media format.

Testimonials reflect individual experiences and do not guarantee similar results. We reserve the right to edit for length and grammar.

12. Third-Party Tools and Integrations

Social Connector may offer access to or integrations with third-party tools and services. Your use of these tools is at your own risk. We do not control, endorse, or take responsibility for third-party tools, their availability, or their compliance with platform policies (including Meta/Facebook and Instagram).

Social Connector is not liable for any damages, data loss, or account suspensions that result from your use of third-party tools. You are responsible for staying informed about and compliant with the terms and policies of any third-party platforms you use.

Links to third-party websites from our platform are provided for convenience only. We are not responsible for the content or functionality of any external websites.

13. Disclaimer of Warranties

Social Connector is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our platform will be uninterrupted, error-free, or completely secure. We are not responsible for any data loss or inaccuracies in stored data.

14. Limitation of Liability

To the maximum extent permitted by law, Social Connector and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, punitive, or special damages arising from your use of our platform, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or related to these Terms or your use of our platform will not exceed the greater of: (a) three times the monthly subscription fee you paid in the month the claim arose, or (b) $2,000.

15. Dispute Resolution

15a. Informal Resolution First

If you have a dispute with us, please contact us first at [email protected]. We will make a good-faith effort to resolve the issue informally within 120 days.

15b. Binding Arbitration

If we cannot resolve the dispute informally, both parties agree to resolve it through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in San Diego County, California (or by phone/written submission if both parties agree).

The arbitrator will apply California law and may award any individual relief a court could award. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

All arbitration costs are governed by the AAA's rules. Each party is responsible for their own attorney's fees unless otherwise required by law.

15c. Class Action Waiver

You and Social Connector both agree that any disputes will be resolved on an individual basis only. You waive the right to participate in any class action lawsuit or class-wide arbitration against Social Connector.

15d. Time Limit

Any claim must be brought within one year of the date the claim arose (including the 120-day informal resolution period). Claims not brought within this window are permanently waived.

15e. Exceptions

Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.

17. Indemnification

You agree to defend, indemnify, and hold harmless Social Connector and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

Your use or misuse of our platform

Your violation of these Terms

Your violation of any law or the rights of any third party

Any content you submit or transmit through our platform

18. Account Termination

Social Connector may suspend or terminate your account at any time if we believe you have violated these Terms or any applicable law. You will remain responsible for any outstanding fees at the time of termination.

You may cancel your account at any time as described in Section 6c. Upon cancellation, your access will continue through the end of your current paid period.

Sections 5, 8, 9, 13, 14, 15, 16, 17, and 18 survive termination of your account or these Terms.

19. Changes to These Terms

We may update these Terms from time to time. The most current version will always be available at https://www.socialconnector.ai/terms. We will notify you of material changes by email. Your continued use of Social Connector after changes are posted constitutes acceptance of the updated Terms.

20. Copyright Complaints

If you believe that content on our platform infringes your copyright, please send a written notice to:

21. Miscellaneous

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Assignment

We may assign our rights under these Terms at any time without notice. You may not assign your rights under these Terms without our written consent.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Social Connector regarding your use of our platform and supersede any prior agreements or understandings.

Electronic Communications

By using our platform, you consent to receive communications from us electronically. Electronic communications have the same legal effect as written communications.

Force Majeure

Social Connector is not liable for any delay or failure caused by circumstances beyond our reasonable control, including natural disasters, government actions, or internet outages.
